These Terms and Conditions ("Terms" or "Terms and Conditions") are entered into by and between you ("you," "your," or "End User"), and Breeve, Inc., a Utah corporation ("Savvio," "we," "our," or "us"), located at 978 E Center St, Pleasant Grove, Utah 84062. The following Terms and Conditions, together with any documents they expressly incorporate by reference (collectively, the "Agreement"), govern your access to and use of the Savvio website located at https://get-savvio.com (the "Site"), the Savvio web application (the "App"), and any related services (collectively, the "Services"), whether as a guest or registered user.

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 6 THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS. BY USING THE SERVICES, YOU AGREE TO THESE TERMS UNLESS YOU OPT OUT WITHIN 30 DAYS.

Please read these Terms and Conditions carefully before you access any of the Services. By using or accessing any part of the Services, or by clicking a button to accept or agree to the Terms and Conditions when this option is made available to you, you unconditionally accept and agree to be bound by this Agreement. Our Privacy Policy is available at https://get-savvio.com/privacy-policy ("Privacy Policy") and is incorporated herein by reference. If you do not want to agree to this Agreement, you must not access or use any part of our Services.

You represent and warrant that you have the full right and authority to enter into this Agreement. You also understand that "End User," "you," and "your" refer to you, the individual, using the Services.

TERRITORY RESTRICTIONS: The Services are limited to residents of the United States. You must have a valid U.S. mailing address to use the Services.

AGE REQUIREMENT: By using any part of the Services, you represent and warrant that you are at least eighteen (18) years of age. If you are under 18, you must not access or use any Services provided by Savvio.

1. DEFINITIONS

1.1 "Account" means the registered account you create to access and use the Services on the Site or App.

1.2 "AI Assistant" means Savvio's artificial intelligence-powered shopping assistant feature, which provides product comparisons, review summaries, deal alerts, and personalized recommendations.

1.3 "App" means the Savvio web application accessible at https://app.get-savvio.com.

1.4 "Billing Cycle" means the recurring period (weekly or monthly, depending on the Plan) for which subscription fees are charged.

1.5 "Intellectual Property" means copyrights, trademarks, trade dress, trade secrets, database rights, rights of confidentiality, patents, and all other intellectual property rights, whether registered or unregistered.

1.6 "Payment Method" means a valid credit card, debit card, PayPal account, Apple Pay, or other payment method accepted by Savvio.

1.7 "Plan" means any of the subscription tiers offered by Savvio, including Savvio Care, Savvio Basic, and Savvio Plus, as described in Section 5.

1.8 "Services" means all services, features, content, and functionality offered by Savvio through the Site and the App, including the AI Assistant, refund and resolution assistance, and all related tools.

1.9 "Site" means the website located at https://get-savvio.com and any subdomains thereof.

1.10 "Third-Party Retailer" means any third-party merchant, e-commerce store, or online retailer whose products or services may be referenced, compared, or displayed through the Services.

1.11 "Trial" means a promotional period during which you may access a Plan at a reduced fee or no fee, as disclosed at the time of enrollment.

2. USING OUR SERVICES

2.1 Access to Our Services

Savvio reserves the right, in its sole discretion, to refuse, suspend, or cancel the provision of any Service, without notice to you, for any reason, including suspected fraud or violation of these Terms.

2.2 Service Tiers and Fees

Savvio offers subscription-based Plans with varying features and pricing. Specific Plan details, including pricing, features, and Trial terms, are described in Section 5 and on the Site. All fees are charged in United States Dollars (USD).

Subscription benefits, promotional offers, and features may vary depending on the enrollment flow or promotion through which you register. Any promotional benefit is offered separately from the subscription and does not reduce, offset, or satisfy your obligation to pay applicable subscription fees.

2.3 Fraud Prevention

Savvio regularly monitors use of the Services for suspicious activities, including fraudulent behavior. Savvio reserves the right, in its sole discretion, to suspend or terminate your Account and block your access to any part of the Services. If Savvio terminates your Account for fraud, Savvio shall have no liability to you for any fees previously paid.

3. LICENSE AND INTELLECTUAL PROPERTY

3.1 Ownership Rights

You acknowledge and agree that Savvio and/or its licensors own all Intellectual Property in connection with the Services. Except as expressly stated herein, this Agreement does not grant you any Intellectual Property rights or licenses in or to the Services, or any part thereof. Savvio retains all right, title, and interest in and to the Services, including all AI algorithms, software, data, content, and associated Intellectual Property worldwide.

3.2 License Grant

Subject to all terms and conditions herein, Savvio grants to you a limited, non-exclusive, revocable, non-sublicensable, and non-transferable license to access and use the Services for personal, non-commercial use. All rights granted by Savvio shall expire upon termination of this Agreement. All rights not expressly granted herein are reserved.

3.3 Limitations on License

Without limiting any other term in this Agreement, the license granted above is further conditioned upon your observance of the following restrictions: (i) you will not reproduce, distribute, modify, create derivative works of, sell, resell, rent, license, sublicense, or transfer any materials in connection with the Services; (ii) you will not use any automated means, including bots, scrapers, or crawlers, to access, extract data from, or interact with the Services; (iii) you will not reverse engineer, decompile, or disassemble any part of the Services or the AI Assistant.

4. USER ACCOUNTS

4.1 Account Creation

To access certain features of the Services, you must create an Account. You shall provide Savvio with accurate, complete, and up-to-date registration information. Failure to do so may result in immediate termination or suspension of your Account. You are limited to a maximum of one (1) Account per individual.

4.2 Account Security

You are responsible for the security of your password(s) and for all activity that occurs under your Account. You must notify us immediately at help@get-savvio.com if you become aware of any unauthorized use of your Account. Savvio will not be liable for any loss or damage arising from unauthorized access to or use of your Account.

6. SUBSCRIPTIONS, TRIALS, AND PAYMENTS

5.1 Plans and Pricing

Savvio offers the following subscription Plans:

  • Savvio Care: $1.50 per week. Includes claim submission assistance, merchant contact support, refund tracking, order issue guidance, faster resolutions, and basic response support.
  • Savvio Basic: $9.90 per month. Includes 30 AI requests per month, product comparisons, review summaries, deal alerts, refund tracking, and standard support.
  • Savvio Plus: $19.90 per month. Includes unlimited AI requests, advanced product comparisons, deep review analysis, real-time alerts, full issue assistance, and priority support.

All prices are in USD. Savvio reserves the right to change its fees upon thirty (30) days' notice via email or in-app notification.

5.2 Free Trials

Savvio may offer Trial periods as follows:

  • Savvio Care: A three (3) day Trial period, as disclosed at the time of sign-up.
  • Savvio Basic and Savvio Plus: A seven (7) day Trial period, as disclosed at the time of sign-up.

By enrolling in a Trial, you authorize Savvio to automatically charge your Payment Method for the applicable recurring subscription fee at the end of the Trial period unless you cancel before the Trial ends. Only one (1) Trial is permitted per individual, household, Payment Method, and device, as determined by Savvio in its sole discretion. Canceling and re-enrolling does not reset Trial eligibility.

5.3 Automatic Renewal

BY SIGNING UP FOR A TRIAL OR SUBSCRIPTION, YOU EXPRESSLY AGREE THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AND THAT YOU AUTHORIZE SAVVIO TO CHARGE YOUR PAYMENT METHOD ON A RECURRING BASIS AT THE PRICE AND FREQUENCY DISCLOSED AT THE TIME OF ENROLLMENT, UNLESS YOU CANCEL BEFORE THE END OF YOUR TRIAL OR CURRENT BILLING CYCLE.

5.4 Payment Method

At all times during this Agreement, you shall maintain a valid Payment Method on file. By enrolling in a Trial or subscription, you authorize Savvio and its payment processors to charge your Payment Method for all applicable subscription fees. If your Payment Method fails, Savvio may retry the charge and may suspend your access to premium features until payment is successful.

You may see a temporary authorization or validation hold on your Payment Method when you enroll. This is not an actual charge and does not result in any funds being collected unless your Trial ends without cancellation or the subscription charge becomes due.

5.5 Cancellation

You may cancel your Trial or subscription at any time using any of the following methods:

If you cancel, you will retain access to your Plan features until the end of your current paid Billing Cycle. Cancellation stops future billing but does not entitle you to a refund for the current period, except as provided in our Money-Back Policy. Deleting the Savvio app or your Account does not automatically cancel an active subscription.

5.6 Refunds

Refund terms are governed by the Savvio Money-Back Policy, available at https://get-savvio.com/money-back-policy, which is incorporated herein by reference. Except as required by applicable law or expressly provided in the Money-Back Policy, all charges are final and non-refundable.

5.7 Chargebacks

We encourage you to contact help@get-savvio.com before initiating a chargeback with your bank. We aim to resolve all billing issues quickly and fairly. Fraudulent or abusive chargebacks may result in immediate Account termination, forfeiture of any accrued benefits, and a permanent ban from our Services.

5.8 First-Purchase Rebate Program

This Section 5.8 governs the First-Purchase Rebate Program offered by Savvio to new Savvio Basic subscribers. By enrolling in a Savvio Basic Trial or subscription during a qualifying promotional period, you acknowledge and agree to the terms set forth in this Section, in addition to all other provisions of these Terms.

5.8.1 Overview

Savvio may, in its sole discretion, offer eligible new Savvio Basic subscribers a one-time promotional cash-back rebate of fifteen U.S. dollars ($15.00) (the "First-Purchase Rebate" or "Rebate") in connection with a qualifying online purchase made after enrollment.

The First-Purchase Rebate is offered as a separate promotional benefit and is not a refund of, credit against, or reduction in the subscription fees you pay for Savvio Basic. Your obligation to pay applicable subscription fees remains unchanged regardless of whether you claim, receive, or forfeit the Rebate.

The availability of the First-Purchase Rebate is limited and may be modified, suspended, or terminated by Savvio at any time in its sole discretion, with or without notice.

5.8.2 Eligibility

To be eligible for the First-Purchase Rebate, you must satisfy all of the following conditions:

(i) You must be a new subscriber to Savvio Basic (the $9.90/month Plan). Subscribers to Savvio Care or Savvio Plus are not eligible for this Rebate;

(ii) You must have registered for the Savvio Basic Trial or subscription using a valid email address and a valid U.S. mailing address as required by these Terms;

(iii) You must have received an offer for the First-Purchase Rebate directly from Savvio at the time of enrollment (the Rebate is not retroactively available);

(iv) You must be at least eighteen (18) years of age and a resident of the United States;

(v) You must have completed your first qualifying online purchase (as defined in Section 5.8.3) within thirty (30) calendar days following the date you enrolled in your Savvio Basic Trial or subscription;

(vi) You must remain an active, paid Savvio Basic subscriber in good standing at the time you submit your Rebate claim and at the time your claim is approved by Savvio;

(vii) You must submit a complete Rebate claim through the "My Rebates" section of the Savvio App within thirty (30) calendar days following your enrollment in Savvio Basic;

(viii) You must send your Proof of Purchase (as defined in Section 5.8.4) to rebates@get-savvio.com, including your Claim ID, within thirty (30) calendar days of submitting your online Rebate claim.

Failure to satisfy any of the above conditions will result in forfeiture of the First-Purchase Rebate. Savvio's determination of eligibility is final and is made in Savvio's sole discretion.

5.8.3 Qualifying Online Purchase

A "Qualifying Online Purchase" means a non-fraudulent, non-commercial online purchase made by you, in your own name, for personal use, from a legitimate Third-Party Retailer, after the date you enrolled in your Savvio Basic Trial or subscription.

The following purchases are not eligible:

(i) Purchases of cryptocurrency, securities, gift cards, prepaid cards, money transfers, or other cash equivalents;

(ii) Purchases of firearms, ammunition, controlled substances, tobacco, alcohol, gambling-related products, adult content, or any goods or services prohibited by applicable law;

(iii) Purchases made on behalf of any other person or entity;

(iv) Purchases made for resale or commercial purposes;

(v) Purchases later canceled, refunded, returned, charged back, or otherwise reversed;

(vi) Purchases that cannot be substantiated by a valid Proof of Purchase.

5.8.4 Claim Process

To claim the First-Purchase Rebate, you must complete the following steps:

(a) Submit an online claim. Log in to your Savvio Account, navigate to the "My Rebates" section, and complete the online claim form. You will be required to provide the following information: date of purchase, merchant name, order total, and the last four (4) digits of the payment method used. Upon submission, Savvio will issue you a unique Claim ID.

(b) Send Proof of Purchase. Within thirty (30) calendar days of submitting your online claim, send an email to rebates@get-savvio.com that includes:

  • Your Claim ID in the subject line of the email; and
  • A Proof of Purchase, defined as a clear screenshot, photograph, or forwarded confirmation email showing: the merchant name, the date of purchase, the order total, and (where applicable) the last four digits of the payment method matching the information you submitted online.

(c) Verification. Savvio will review your claim and your Proof of Purchase. Verification may take three (3) to four (4) weeks from the date Savvio receives your Proof of Purchase email.

(d) Approval and payout. If your claim is approved, Savvio will issue your $15.00 Rebate in the form selected by you at the time of online claim submission (see Section 5.8.5).

Savvio reserves the right to request additional documentation or information to verify the validity of any claim. Claims submitted without all required information, or without a valid Claim ID reference, may be rejected without further notice.

5.8.5 Rebate Payment

If your claim is approved, the First-Purchase Rebate will be issued, at your election made at the time of online claim submission, in one of the following forms:

(i) Digital gift card (e.g., Amazon.com Gift Card or other digital reward), delivered electronically to the email address associated with your Savvio Account; or

(ii) PayPal payment in U.S. dollars, sent to a valid PayPal email address you provide at the time of claim submission.

All Rebates are paid in United States dollars (USD). If you select PayPal, you are responsible for providing a valid PayPal account; Savvio is not liable for payments sent to incorrect or invalid PayPal email addresses you provide.

The Rebate has no cash redemption value other than as specifically described above, is non-transferable, and may not be exchanged, sold, or assigned. Once your selected payout has been issued, it cannot be changed, refunded, or reissued in a different form.

5.8.6 Limits and Restrictions

The First-Purchase Rebate is subject to the following limits and restrictions:

(i) One (1) Rebate per individual, household, Payment Method, and device, as determined by Savvio in its sole discretion. Canceling and re-enrolling in Savvio Basic does not reset eligibility for the First-Purchase Rebate;

(ii) The Rebate is offered only once per lifetime per eligible subscriber, regardless of the number of Savvio Accounts created;

(iii) The Rebate cannot be combined with any other promotional offer, bonus, credit, or rebate offered by Savvio, unless expressly stated otherwise;

(iv) Savvio reserves the right to deny, void, claw back, or offset the Rebate at any time in the event of:

  • Suspected fraudulent, deceptive, or abusive activity;
  • Multiple accounts created by the same individual or household;
  • Use of a Payment Method previously linked to another Rebate claim;
  • Cancellation of, refund of, reversal of, or chargeback on the subscription charge for the billing period during which the Rebate was claimed;
  • Termination of your Savvio Basic subscription prior to claim approval;
  • Submission of false, altered, or otherwise non-authentic Proof of Purchase;
  • Violation of any term of this Agreement.

(v) Rebate claims received after the applicable deadlines set forth in Section 5.8.2 will be denied without further review.

5.8.7 Chargebacks, Refunds, and Reversals

If, at any time prior to or following the issuance of your First-Purchase Rebate, you initiate or participate in a chargeback, payment dispute, or refund request relating to your Savvio Basic subscription, or if your subscription charge is reversed for any reason, Savvio reserves the right, in its sole discretion, to:

(i) Void, cancel, or claw back the Rebate;(ii) Offset the value of the Rebate against any amounts owed to you;(iii) Suspend or terminate your Savvio Account;(iv) Bar you from future participation in any Savvio promotional program.

By participating in the First-Purchase Rebate Program, you expressly authorize Savvio to take any of the foregoing actions.

5.8.8 No Guarantee

You acknowledge and agree that:

(i) Savvio makes no representation or guarantee that any particular Rebate claim will be approved;

(ii) Approval of a Rebate claim is at Savvio's sole and absolute discretion;

(iii) Savvio is not responsible for delays, losses, or failures of delivery of digital gift cards or PayPal payments caused by incorrect information provided by you, by your email service provider, by PayPal, or by any other third party;

(iv) Once a digital gift card or PayPal payment has been delivered to the email address you provided, title and risk of loss pass to you, and Savvio is not responsible for any subsequent loss, theft, or misuse of the Rebate.

5.8.9 Tax Liability

You are solely responsible for any federal, state, or local taxes, levies, or other charges that may be imposed on the receipt of the First-Purchase Rebate. Savvio is not responsible for issuing tax forms in connection with the Rebate unless required by applicable law.

5.8.10 No Affiliation with Third-Party Retailers

The First-Purchase Rebate Program is offered by Savvio and is not affiliated with, sponsored by, or endorsed by any Third-Party Retailer from which you may make a qualifying purchase. Any references to specific retailers or trademarks in connection with the Rebate Program are for descriptive purposes only. The availability of a digital gift card issued by a particular retailer does not constitute an endorsement of that retailer's products or services by Savvio.

5.8.11 Modification or Termination of the Program

Savvio reserves the right, in its sole discretion, to modify, suspend, or terminate the First-Purchase Rebate Program, or any aspect thereof, at any time, with or without notice. Modifications may include, without limitation, changes to the Rebate amount, eligibility criteria, claim process, or payout methods. Such modifications shall not affect Rebates already paid prior to the date of the modification.

5.8.12 No Right to Rebate in Event of Termination

If your Savvio Account is terminated, suspended, or canceled for any reason (whether by you or by Savvio), and regardless of whether the termination is for cause, you forfeit any pending or unpaid First-Purchase Rebate. Savvio shall have no obligation to issue a Rebate to any account that is not active and in good standing at the time of claim approval.

5.8.13 Application of Arbitration Agreement

All disputes arising out of or related to the First-Purchase Rebate Program are subject to the Mandatory Arbitration and Class Action Waiver provisions set forth in Section 6 of these Terms, including the right to opt out of arbitration within thirty (30) days of accepting these Terms.

6. MANDATORY ARBITRATION AND CLASS ACTION WAIVER

Using or accessing the Services constitutes your acceptance of this Arbitration Agreement. Please read it carefully.

6.1 Scope

ALL DISPUTES, CONTROVERSIES, OR CLAIMS ("DISPUTES") ARISING OUT OF OR RELATED TO THESE TERMS, ANY ASPECT OF THE RELATIONSHIP BETWEEN YOU AND SAVVIO, YOUR USE OF THE SERVICES, OR YOUR COMMUNICATIONS WITH SAVVIO, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, SHALL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION BEFORE A NEUTRAL ARBITRATOR. YOU AGREE THAT SAVVIO AND YOU ARE EACH WAIVING THE RIGHT TO SUE IN COURT AND TO HAVE A TRIAL BY A JURY, EXCEPT THAT (A) EITHER PARTY MAY SEEK RELIEF IN SMALL CLAIMS COURT IF THE CLAIMS QUALIFY, AND (B) EITHER PARTY MAY SEEK EQUITABLE RELIEF IN COURT FOR INFRINGEMENT OR MISUSE OF INTELLECTUAL PROPERTY RIGHTS.

6.2 Governing Law

The Federal Arbitration Act, 9 U.S.C. §§ 1–16, governs the interpretation and enforcement of this Arbitration Agreement. In all other respects, the laws of the State of Utah shall govern this Agreement and these Terms, without regard to conflict of law principles.

6.3 Pre-Arbitration Procedures

If you have a Dispute, you agree to first contact us by email at help@get-savvio.com to attempt to resolve the Dispute informally. If the Dispute cannot be resolved within sixty (60) days, either party may initiate binding arbitration.

Unless modified by this Agreement, arbitration will be administered by JAMS pursuant to the JAMS Streamlined Arbitration Rules & Procedures for claims totaling less than $250,000, and the Comprehensive Arbitration Rules and Procedures for all other claims. The JAMS Mass Arbitration Procedures shall apply to all qualifying arbitrations.

6.4 Arbitration Forum

The arbitrator will conduct hearings by teleconference or videoconference, unless the arbitrator determines an in-person hearing is appropriate. Any in-person appearances will be held at a location reasonably convenient to both parties.

6.5 Authority of Arbitrator

The arbitrator shall have exclusive authority to determine the scope and enforceability of this Arbitration Agreement and to resolve all Disputes within its scope. The arbitrator shall issue a written award and statement of decision. The award is final and binding and may be confirmed and enforced in any court of competent jurisdiction.

6.6 Jury Trial Waiver

YOU AND SAVVIO HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, UNLESS OTHERWISE PROVIDED IN THIS ARBITRATION AGREEMENT.

6.7 No Class Actions

YOU AND SAVVIO AGREE THAT ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY BRING A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN A CLASS ACTION OR CLASS ARBITRATION.

6.8 Severability

If any provision of this Arbitration Agreement is found to be invalid or unenforceable, the remainder shall continue in full force and effect. This Arbitration Agreement survives the termination of your relationship with Savvio.

6.9 30-Day Right to Opt Out

You have the right to opt out of the arbitration and class action waiver provisions by sending written notice to help@get-savvio.com within thirty (30) days of accepting these Terms. If you timely opt out, Savvio will also not be bound by them. All other provisions of these Terms shall remain in effect.

8. AI-POWERED SERVICES AND LIMITATIONS

7.1 Nature of AI Services

Savvio provides AI-powered tools including product comparisons, review summaries, deal alerts, and personalized recommendations. The AI Assistant is designed to help you make more informed shopping decisions, but it does not guarantee any particular outcome, savings, or result.

7.2 Accuracy and Limitations

While our AI strives for accuracy, product information, pricing, availability, reviews, and other data are sourced from third parties and may change at any time. Savvio is not responsible for errors, inaccuracies, or outdated information provided by third-party sources. You acknowledge that AI-generated content may occasionally be incomplete or inaccurate.

7.3 No Endorsement

Product information, comparisons, and recommendations provided through the AI Assistant do not constitute an endorsement, guarantee, or warranty of any product, service, or Third-Party Retailer. All purchasing decisions are made at your sole discretion and risk.

7.4 AI Request Limits

Certain Plans include limits on the number of AI requests per Billing Cycle. Savvio Care does not include AI Assistant features. Savvio Basic includes thirty (30) AI requests per month. Savvio Plus includes unlimited AI requests. Unused requests do not roll over to the next Billing Cycle.

7.5 Data and Privacy

Savvio does not sell or share your personal data with advertisers. AI interactions are not used to train models and are not linked to your identity in a personally identifiable way. For full details, please refer to our Privacy Policy.

8. REFUND AND RESOLUTION ASSISTANCE

8.1 Role of Savvio

Savvio assists users in navigating refund and resolution processes with Third-Party Retailers. Savvio acts as a facilitator and advocate on your behalf, but is not your legal representative or counsel. Savvio does not guarantee that any Third-Party Retailer will grant a refund, credit, or other resolution.

8.2 Third-Party Policies

All refunds, returns, and resolutions are subject to the specific policies of the Third-Party Retailer where the purchase was made. Savvio has no control over and assumes no responsibility for the policies, practices, or decisions of any Third-Party Retailer.

8.3 Limitation

YOU AGREE THAT YOUR USE OF THE REFUND AND RESOLUTION ASSISTANCE IS AT YOUR OWN RISK. SAVVIO DOES NOT GUARANTEE ANY OUTCOME AND SHALL NOT BE LIABLE FOR ANY FAILURE TO OBTAIN A REFUND, CREDIT, OR OTHER RESOLUTION FROM A THIRD-PARTY RETAILER.

9. TERMINATION

9.1 Termination by You

You may terminate this Agreement at any time by canceling your subscription (see Section 5.5) and ceasing to use the Services.

9.2 Termination by Savvio

Savvio may terminate or suspend your Account and access to the Services at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to: violation of these Terms, fraudulent activity, abuse of the Services, or failure to pay subscription fees.

9.3 Effect of Termination

Upon termination, all rights and licenses granted to you under this Agreement shall immediately cease. Savvio shall not be obligated to refund any payments you made if your Account is terminated for cause. Sections that by their nature should survive termination shall survive, including but not limited to Sections 3, 6, 15, 16, and 17.

10. PERSONAL USE ONLY

The Services are available for your own personal and non-commercial use only. You agree you will not use the Services on behalf of any other person or entity, and you will not make any commercial use of the information or tools provided through the Services.

11. THIRD-PARTY RETAILERS

11.1 No Affiliation

All products and services referenced, compared, or displayed through the Services are offered by Third-Party Retailers. Savvio is not affiliated with any Third-Party Retailer. Savvio and such Third-Party Retailers have an independent contractor relationship.

11.2 No Liability

Savvio shall not be liable for any product or service purchased from a Third-Party Retailer, including the quality, safety, legality, or any other aspect thereof. Any purchase is solely between you and the Third-Party Retailer.

12. SERVICE MODIFICATIONS

The Site, App, Services, or any part thereof may be modified, suspended, or terminated by Savvio at any time in its sole discretion and without notice, provided that Savvio may provide you with reasonable notice, to the extent possible, for any material changes.

13. NON-CIRCUMVENTION

You represent and warrant that you will not use the Services, the Site, the App, or any technology or information learned from the Services to: (i) build a service that competes with the Services; (ii) assist any other person or entity to compete with the Services; or (iii) in any other way compete with Savvio.

14. PRIVACY POLICY

The Savvio Privacy Policy explains how we treat your personal information and protect your privacy when you use our Services. Our Privacy Policy is located at https://get-savvio.com/privacy-policy and is hereby incorporated into this Agreement. By using our Services, you agree that Savvio can collect, use, and share data in accordance with our Privacy Policy.

15. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold Savvio and its officers, directors, agents, affiliates, licensors, and employees harmless from and against any and all claims, actions, liabilities, losses, expenses, damages, and costs, including without limitation attorneys' fees, arising out of: (1) your breach of any term, warranty, representation, or covenant in this Agreement; (2) your violation of any applicable law, rule, regulation, or third party's rights; or (3) your use of the Services in a manner not authorized by this Agreement.

Notwithstanding the foregoing, you are not obligated to indemnify Savvio against any claim arising out of Savvio's gross negligence or willful misconduct.

16. DISCLAIMERS OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAVVIO HEREBY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, WITH RESPECT TO THE SERVICES. THE SITE, APP, AI ASSISTANT, AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND.

SAVVIO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SAVVIO DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, PRODUCT INFORMATION, PRICING, OR RECOMMENDATIONS PROVIDED THROUGH THE SERVICES.

17. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL SAVVIO OR ITS AFFILIATES, CONTRACTORS, EMPLOYEES, AGENTS, OR THIRD-PARTY PARTNERS BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF SAVVIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SAVVIO'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SAVVIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIVE HUNDRED DOLLARS ($500.00), WHICHEVER IS LESS.

18. ASSIGNMENT

You shall not assign any of your rights or obligations under this Agreement, in whole or in part, without Savvio's prior written consent. Savvio may at any time assign its rights or obligations under this Agreement without your consent and without prior notice.

19. E-SIGN CONSENT

By clicking "Submit," "Continue," "Start Trial," "Select This Plan," or similar buttons on the Site, you consent and agree that such action constitutes your electronic signature and has the same effect as a handwritten signature. You further consent to receive electronic communications and disclosures via email and/or the Site.

20. COMMUNICATIONS

We will send you any information related to your Account (e.g., payment authorizations, changes to our services, confirmation notifications, price plan changes) in electronic format only. You agree that any notice, disclosure, or communication sent to you electronically satisfies all legal communication requirements, including any requirement that a communication be in writing.

21. FORCE MAJEURE

Any delay in or failure of performance by either party under this Agreement will not be considered a breach and will be excused to the extent caused by any occurrence beyond the reasonable control of such party, including but not limited to acts of God, power outages, internet disruptions, pandemics, and governmental restrictions.

22. SEVERABILITY AND WAIVER

If any provision of this Agreement is held to be unenforceable by a court or arbitrator, the remaining provisions shall remain in full force and effect. Failure of either party to require strict performance shall not affect the party's right to require strict performance thereafter.

23. RELATIONSHIP OF THE PARTIES

Neither party shall be deemed to be an employee, agent, or legal representative of the other. This Agreement will not be construed to create or imply any partnership, agency, or joint venture.

24. ENTIRE AGREEMENT

This Agreement, together with the Privacy Policy, Subscription Terms, Money-Back Policy, and any other documents expressly incorporated by reference, constitutes the complete and exclusive agreement between the parties with respect to the subject matter hereof.

25. MODIFICATIONS TO AGREEMENT

Savvio reserves the right to modify this Agreement at any time in its sole discretion. Material changes will be communicated via email or in-app notification with at least thirty (30) days' notice. Revisions are effective immediately upon posting or on the date stated in the notice. By continuing to access or use the Services after modifications are posted, you agree to be bound by the modified Agreement. If the modified Agreement is not acceptable to you, your only recourse is to cease using the Services.
